These Terms of Service ("Terms") govern your access to and use of the website, tools, and mailbox subscription services provided by InfraSuite, Inc. ("InfraSuite", "we", "us", or "our").

By accessing or using our website (the "Site") or any of our services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.

1. Services Overview

InfraSuite provides Microsoft mailbox capacity and related configuration designed for outbound email and cold outreach. Our core Services include:

Provisioning Microsoft mailboxes tied to domains you own or control.
Providing configuration guidance and recommended warmup practices for outbound sending.
Offering limited tools and utilities (for example, CSV helpers or email tools) via our tools hub.
Providing support related to mailbox stability and configuration.

We do not operate as a done for you outbound agency and we do not guarantee deliverability, reply rates, revenue, or any specific campaign outcome. Your results depend on your own targeting, lists, content, systems, and compliance.

2. Eligibility and Business Use

The Services are intended for business and professional use. By using the Services, you represent that you are acting on behalf of a business or as a professional user, and that you have authority to agree to these Terms on behalf of that business.

You may not use the Services if you are prohibited from doing so under applicable law or if you have previously been suspended or removed by InfraSuite.

3. Use of Our Site and Services

We grant you a limited, non exclusive, non transferable, revocable license to access and use the Site and Services for your internal business purposes and in accordance with these Terms.

You agree that you will not:

Use the Services for any unlawful, harmful, or abusive purpose.
Attempt to gain unauthorized access to any systems, accounts, or networks.
Interfere with or disrupt the security, integrity, or performance of the Site or Services.
Use the Site or Services to send or facilitate sending of content that is fraudulent, deceptive, defamatory, hateful, or otherwise inappropriate.
Use automated means to scrape, crawl, or collect content from the Site other than as permitted by a written agreement with us.

4. Subscriptions, Fees, and Billing

Pricing for mailbox subscriptions, setup fees, and any add ons will be presented on our Site or in a separate written order or proposal (collectively, an "Order"). By placing an Order, you agree to pay all applicable fees described in that Order.

Recurring fees. Subscription fees are typically charged on a recurring monthly basis until canceled in accordance with these Terms and the applicable Order.
Setup fees. One time setup fees cover the initial work required to configure your environment and mailbox capacity. Setup work begins shortly after payment. Setup fees are non refundable once work has started, except where required by law.
Billing and payment. You authorize us or our payment processor to charge all fees to your selected payment method. You are responsible for keeping your billing information current.
Taxes. Fees are exclusive of applicable taxes. You are responsible for any sales, use, value added, or similar taxes associated with your use of the Services, other than taxes on our net income.

Except where we expressly state otherwise or where required by law, all payments are non refundable and non creditable, including for partial billing periods.

5. Term, Renewal, and Cancellation

Subscription Services typically run on a month to month basis once live. Unless otherwise stated in an Order:

Your subscription will automatically renew at the then current rate each billing period until canceled.
You may cancel for the next billing period by providing notice in accordance with the instructions we provide (for example, via email or your account interface). Cancellation takes effect at the end of the current paid period.
We may change pricing for future renewals by providing you with advance notice. If you do not agree with updated pricing, you may cancel before the change takes effect.

We reserve the right to suspend or terminate your access to the Services if you fail to pay amounts due or if we believe your use presents a security, legal, or reputational risk to InfraSuite or others.

6. Acceptable Use and Compliance

You are solely responsible for how you use the mailbox capacity we provide. You agree that your use of the Services, including any cold email activity, will comply with all applicable laws and regulations, which may include: anti spam, marketing, data protection, and privacy laws in the regions where you and your recipients are located.

Without limiting the generality of the above, you agree not to use the Services to:

Send email in violation of applicable anti spam laws or acceptable use policies of your email providers and sequencer tools.
Send content that is misleading, fraudulent, or intended to deceive recipients.
Target individuals or groups in a way that is harassing, abusive, or discriminatory.
Engage in phishing, malware distribution, or any security abusing behavior.

We may set or recommend sending limits, warmup practices, and other guardrails intended to promote stability. Ignoring those guidelines or using the Services in ways that materially increase the risk of blacklisting, service disruption, or policy violations may result in suspension or termination of your access.

7. Customer Responsibilities

In addition to other obligations in these Terms, you are responsible for:

Providing accurate information about your domains, business, and use case during onboarding.
Maintaining control of, and properly configuring, any domains, DNS records, and tools that you own or operate.
Keeping login credentials, API keys, and account access secure.
Ensuring that your content and sending practices comply with all applicable laws and third party terms.

InfraSuite does not review or approve your email content, targeting, or strategy. You remain responsible for what you send and to whom you send it.

8. Third Party Services

Our Services often interact with third party platforms such as Microsoft 365, email sequencers, and other tools. Those services are operated by third parties, not InfraSuite. Your use of them is governed by their own terms and policies.

We are not responsible for the availability, performance, or behavior of any third party service, or for changes they make to their products, pricing, limits, or policies. Such changes may impact how our Services operate, and we are not liable for resulting disruptions outside of our reasonable control.

9. Intellectual Property

The Site, the Services, and all related content and materials, including software, documentation, text, graphics, logos, and trademarks, are owned by InfraSuite or our licensors and are protected by intellectual property laws. Except for the limited rights described in these Terms, no rights or licenses are granted to you by implication or otherwise.

Any feedback, suggestions, or ideas you provide about the Services may be used by InfraSuite without restriction or obligation to you.

10. Disclaimers

The Site and Services are provided "as is" and "as available" without any warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non infringement.

Without limiting the foregoing, we do not warrant that the Services will be uninterrupted, error free, or immune from changes in third party platforms or email provider policies, nor do we warrant any particular deliverability rate, inbox placement result, revenue outcome, or performance level for your campaigns.

11. Limitation of Liability

To the maximum extent permitted by law, InfraSuite will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, customers, data, or goodwill arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

To the extent any liability is not legally excluded, our total aggregate liability arising out of or relating to the Services or these Terms will be limited to the amount you paid to InfraSuite for the Services during the three (3) months immediately before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless InfraSuite and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the Site or Services.
Your violation of these Terms.
Your violation of any applicable law, regulation, or third party rights.
Any content or communications you send using mailbox capacity provided through the Services.

13. Termination and Suspension

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe:

You have violated these Terms or any applicable law.
Your use creates security, legal, or reputational risk for InfraSuite or others.
A third party provider materially restricts or disables our ability to support your use case.

Upon termination, your right to access the Services will cease, but any provisions of these Terms that by their nature should survive will remain in effect, including those relating to fees owed, intellectual property, disclaimers, limitation of liability, and indemnification.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this page and may provide additional notice where appropriate. Your continued use of the Site or Services after updated Terms become effective means you accept the revised Terms.

16. Miscellaneous

These Terms, together with any applicable Order and our Privacy Policy, form the entire agreement between you and InfraSuite regarding the Services and supersede any prior or contemporaneous agreements on that subject.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision will not be a waiver of that provision or any other provision. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, sale of assets, or similar transaction.
