These Terms of Service ("Terms") govern your use of the website and services provided by InfraSuite, Inc. ("InfraSuite," "we," "us," or "our").

By accessing or using our website (the "Site") or our services, you agree to these Terms. If you do not agree, please do not use our Site or services.

1. Services Overview

InfraSuite provides done-for-you outbound email infrastructure acquisition and setup, guidance through Microsoft Cloud Partner and related approval processes, ongoing infrastructure maintenance, and other related services to clients. All services are subject to these Terms and any additional terms provided at the time of service engagement.

2. Use of Our Website

License: We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Site for personal or internal business purposes, subject to these Terms.

Restrictions: You agree not to:

  • Use our Site for any unlawful or unauthorized purpose.
  • Disrupt or interfere with the security or performance of our Site.
  • Attempt to gain unauthorized access to our systems or networks.
  • Use automated means to scrape, crawl, or collect information from our Site without permission.

3. Client Engagement and Obligations

Engagement: By entering into a service agreement with InfraSuite, you acknowledge and agree to provide accurate and complete information necessary for the fulfillment of our services.

Confidentiality: Both parties agree to maintain the confidentiality of all proprietary or sensitive information shared during the engagement, in accordance with our Confidentiality Policy.

Fees and Payment: Specific service fees and payment terms will be outlined in your service agreement. Late payments may incur additional fees, and failure to pay may result in suspension of services.

4. Confidentiality and Data Use

Privacy: We are committed to protecting your privacy. Our collection and use of personal data are outlined in our Privacy Policy.

Data Security: While we implement industry-standard measures to protect your information, we cannot guarantee the absolute security of data transmitted over the internet. By using our services, you acknowledge this risk.

5. Intellectual Property

All content on our Site, including text, graphics, logos, and software, is the property of InfraSuite or our content providers and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or display our content without prior written consent from InfraSuite.

Client Materials: Any materials you provide to us for service purposes remain your property. However, by providing them, you grant InfraSuite a limited license to use them solely for the purpose of delivering our services.

6. Limitation of Liability

To the maximum extent permitted by law, InfraSuite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use our Site or services.
  • Unauthorized access, use, or alteration of your content or data.

In jurisdictions where limitations on liability are not permitted, our liability shall be limited to the maximum extent permitted by law.

7. Disclaimers

Our Site and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, secure, or error free. You agree that your use of our Site and services is at your sole risk.

8. Indemnification

You agree to indemnify, defend, and hold harmless InfraSuite, its directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of our Site, violation of these Terms, or your breach of any applicable laws or regulations.

9. Third Party Links

Our Site may contain links to third party websites or services that are not owned or controlled by InfraSuite. We are not responsible for the content, privacy policies, or practices of any third party sites. Your use of third party websites is at your own risk.

10. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of our services will be resolved in the state or federal courts located in Wyoming, USA.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our Site. Your continued use of our Site or services after the changes become effective means you agree to the revised Terms.

12. Termination

We may terminate or suspend your access to our Site and services at our sole discretion, without prior notice, if we determine that you have violated these Terms. Upon termination, your right to use our Site and services will immediately cease.

Additional Provisions

Entire Agreement: These Terms constitute the entire agreement between you and InfraSuite regarding your use of our Site and services, superseding any prior agreements.

Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will continue in effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

ADDITIONAL TERMS — INFRASTRUCTURE OWNERSHIP, NON-REPLICATION AND USE RESTRICTIONS

1. Purpose and Scope

This section governs your use of InfraSuite's infrastructure acquisition, setup, maintenance, and advisory services ("InfraSuite Services"). These terms exist to protect the integrity, confidentiality, and economic viability of our product, processes, partner ecosystems, and long term operational model.

InfraSuite grants you access to a guided process that results in infrastructure built under your Microsoft Cloud Partner environment. That ownership does not grant any license to replicate, resell, reverse engineer, or commercialize our methods, workflows, advisory process, internal logic, or the infrastructure architecture itself.

If your intention is anything other than using your owned infrastructure for your own outbound operations or client fulfillment under your direct business, you are not eligible to use InfraSuite.

2. Prohibited Uses

You agree not to engage in any of the following activities.

2.1. Reselling or Vendor Activity

You may not:

  • resell tenants, mailboxes, infrastructure units, or packs
  • selling MSP approval as a product.
  • bundle Microsoft tenants or mailbox access into a subscription, service, or offering
  • offer infrastructure as a service, mailbox provisioning, or tenant provisioning
  • market yourself as a mailbox vendor, infra vendor, outbound infra provider, or similar
  • use InfraSuite enabled infrastructure to build a competing product or service
  • act as a middleman, wholesaler, aggregator, or provider of similar capacity

Any behavior that resembles a mailbox vendor model, even if framed differently, is strictly prohibited.

2.2. Replication, Reverse Engineering, or Architectural Extraction

For the sake of your infrastructure's integrity, you may not:

  • attempt to map, document, infer, or reproduce the architecture, deployment logic, tenant structure, or maintenance processes used by InfraSuite
  • reverse engineer your environment for the purpose of developing a competing workflow
  • engage in technical observation, data capture, or pattern analysis intended to duplicate our methods
  • use any information gained through InfraSuite to build another infrastructure product, consultancy, or training program

In addition, you may not modify, alter, or experiment with configuration, or settings of the infrastructure in any way that departs from InfraSuite guidance or that reasonably risks degrading stability, deliverability, or functionality of the environment.

If you make changes to the environment that directly or indirectly cause or contribute to outages, deliverability issues, tenant or mailbox failures, or any material degradation of performance, InfraSuite is under no obligation to troubleshoot, repair, or restore the environment to its prior state. We may suspend or terminate InfraSuite Services if we determine that your changes have compromised the integrity of the setup.

Owning your environment does not grant rights to our backend logic, partner relationships, approval routing, operational systems, or proprietary sequencing patterns.

2.3. Training, Consulting, or Coaching on InfraSuite Methods

You may not:

  • teach others how to acquire, configure, or scale tenants using our methods
  • offer consulting, coaching, or done with you services on how to replicate cold email infrastructure
  • incorporate any part of the InfraSuite workflow into courses, communities, playbooks, or private groups
  • create or publish any public or semi-public content (including social media posts, X/Twitter threads, videos, newsletters, courses, coaching programs, private groups, communities, masterminds, or similar formats) that explains, demonstrates, teaches the set up, configuration, architecture, approval process, or any operational logic behind InfraSuite

Your access is for operating your own outbound or fulfilling your own clients' campaigns, not for distributing knowledge or building competing expertise.

2.4. Scope of Restrictions and Anti-Circumvention

These restrictions apply exclusively to individuals and businesses who have purchased or accessed InfraSuite Services. They do not restrict the general public or participants in the broader outbound or infrastructure industry.

  • forming or using any new business entity, brand, or project for the purpose of engaging in activity prohibited under these Terms
  • partnering, collaborating, or associating with any third party who acts on your behalf to replicate, rebuild, resell, or commercialize InfraSuite methods, architecture, or processes
  • directing, encouraging, or enabling another individual, contractor, employee, or agency to perform actions that you are prohibited from performing under these Terms
  • providing any portion of InfraSuite’s proprietary knowledge, workflows, guidance, or configurations to third parties so they can create or operate a competing service

Any attempt to circumvent these restrictions through intermediaries, shell entities, silent partners, or cooperative arrangements is treated as a direct violation of these Terms.

3. Client Fulfillment Boundaries

You may service your own clients only within the following boundaries:

  • You may allocate the tenants mailboxes you own to client fulfillment as part of your agency work.
  • You may not create a reseller model where clients pay you for mailbox access, mailbox volume, or infrastructure units.
  • Clients may not rent your environment under any arrangement.
  • You may not position your environment as a shared pool or marketplace.

Your client usage must be incidental to your agency services, not the creation of a mailbox rental product under another name.

4. Termination for Competitive Activity

InfraSuite reserves the right to immediately terminate your access to all InfraSuite Services, including maintenance, ongoing support, replacements, coaching, and future buildouts, if we determine, at our sole discretion, that you have:

  • attempted to replicate or reverse engineer InfraSuite
  • positioned yourself as a provider of infrastructure, tenants, mailboxes, or equivalents
  • used your owned infrastructure to build, market, or test a competing product
  • sold, resold, leased, or redistributed any part of your environment
  • provided access to third parties in a way that resembles vendor behavior

Termination under this clause does not affect your Microsoft environment. All assets remain yours because they were created under your ownership.

However, you will permanently lose access to InfraSuite Services, support, maintenance, replacements, advisory guidance, and ongoing buildout capabilities.

5. Refunds and Forfeiture of Payments

If termination occurs due to a violation of this section:

  • all fees paid to InfraSuite become immediately non refundable
  • you waive all refund rights, including those offered under any approval guarantee
  • no partial, prorated, or future refunds will be issued

Refund guarantees apply only to good faith users who follow the Terms. Any attempt to compete through InfraSuite voids all guarantees, protections, and refund rights.

6. Independence of Ownership and InfraSuite Services

Your Microsoft Cloud Partner account, tenants, mailboxes, and related infrastructure are created under your ownership. InfraSuite does not remove, revoke, or disable these assets upon termination.

Termination affects only InfraSuite's obligations:

  • no maintenance
  • no replacements
  • no build phases
  • no advisory access
  • no SOP updates
  • no environment expansion

You continue to own your assets, but you proceed without InfraSuite support.

7. Confidentiality and Non Disclosure

You agree that all materials, communications, workflows, guidance, and operational instructions provided by InfraSuite are confidential and proprietary. You may not:

  • share internal guidance
  • distribute our materials
  • relay our processes to third parties
  • create derivative works based on our instructions
  • train staff, contractors, or clients in replication of InfraSuite's methods

Violating confidentiality is grounds for immediate termination under Section 4.

8. Enforcement and Audit Rights

InfraSuite may, at its sole discretion:

  • request clarification of your usage
  • investigate suspected violations
  • require written confirmation that you are not engaging in prohibited activities
  • suspend services pending review

Failure to cooperate results in immediate termination.

9. Survival

All restrictions in this section survive for up to 24 months:

  • termination
  • expiration of services
  • cessation of support
  • completion of setup
  • any discontinuation of the business relationship

Your ownership of assets continues. Your restrictions on how you use them also continue.
